Governance

Scarborough Whitby and Ryedale Mind is governed by a Board of Trustees, all of whom are volunteers. Our trustees take overall responsibility for the work of SWR Mind.

Governance is a term used to describe the Trustees role in:

  • Securing the long-term direction of SWR Mind 
  • Ensuring that SWR Mind's policies and services/projects achieve the objects of the charity as laid out in our governing document (called a Memorandum and Articles of Association)
  • Ensuring SWR Mind is run in a way that is legal, responsible and effective
  • Being accountable to all those with an interest or a 'stake' in SWR Mind (e.g. people with mental health problems, volunteers, funders).

Good governance runs throughout a charity. The trustees are responsible for good governance, but they rely on many different people to be able to govern well - for example staff, volunteers, and advisors.

SWR Mind Trustees meet monthly. At these meetings they consider and agree a whole range of things such as SWR Mind Policies, financial matters, our Terms and Conditions of Employment, and our plans for the future, which they write down in our Strategic Plan

 

Annual General meeting

As well as their regular meetings, the trustees hold an Annual General Meeting (AGM) each year, usually around September.

The AGM is held to elect the Board of Trustees and to inform members and any other interested parties of activities over the previous financial year and future plans. It is an opportunity for attendees to receive copies of our accounts and Annual Report and to ask any questions that they may have about these.

 

Election of Trustees

At each AGM the Board of Trustees is elected.

To become a Trustee at the AGM you must be nominated by an existing member of SWR Mind using our Nomination Form and providing the information requested, including a brief summary of your skills and experience and why you would like to become a trustee.

SWR Mind askes that Nomination forms are completed and returned to Scarborough, Whitby and Ryedale Mind, The Spencer Suite, Falsgrave Community Resource Centre, Seamer Road, Scarborough, YO12 4DJ by a set date and time for consideration at the next AGM. These dates and times will be published here at least 24 days before each AGM.

Membership

SWR Mind has members. These are people who have become members of our Charity because they use our services, are SWR Mind volunteers or are generally interested in our organisation and the work that we do. Members have the right to vote at our AGM.

Memorandum and Articles of Association

SWR Mind is a Registered Charity and a Company Limited by Guarantee. Our governing documents (Constitution) are legal documents called Memorandum and Articles of Association.
